第三条  甲方权利义务 Article 3  Rights and Obligations of Party A
甲方负责对认养树木进行日常管理，包括但不限于施肥、浇水、病虫害防治； Party A shall be responsible for the day-to-day management of the adopted trees, including but not limited to fertilisation, irrigation, and pest and disease control;
甲方应在每季度末向乙方提供《农场管理季度报告》； Party A shall provide Party B with a Quarterly Farm Management Report at the end of each quarter;
甲方应在每年收成季节（约每年6月至9月）向乙方提供《年度产量报告》； Party A shall provide Party B with an Annual Yield Report during each harvest season (approximately June to September each year);
甲方应保障乙方每年至少1次农场实地探访权（需提前14天预约）； Party A shall guarantee Party B's right to at least one on-site farm visit per year (minimum 14 days' advance notice required);
甲方应在收成完成后30个工作日内完成果实分配或等值变现处理； Party A shall complete fruit distribution or equivalent cash settlement within 30 working days after the harvest is completed;
甲方应维护数字孪生平台，保证乙方可实时查看认养树木状态数据； Party A shall maintain the digital twin platform (Super Star 3D) to ensure Party B can view real-time tree status data;
如遇不可抗力（台风、病害大爆发等）导致减产，甲方应书面通知乙方，并提供相应补偿方案。 In the event of force majeure (typhoon, severe disease outbreak, etc.) causing reduced yield, Party A shall notify Party B in writing and provide a corresponding compensation proposal.
第四条  乙方权利义务 Article 4  Rights and Obligations of Party B
乙方有权通过甲方数字孪生平台（Super Star 3D）实时查看认养树木状态； Party B is entitled to view real-time status of the adopted trees via Party A's digital twin platform (Super Star 3D);
乙方有权获得认养树木当年产量的80%果实或等值积分（20%归甲方用于农场维护）； Party B is entitled to 80% of the annual fruit yield from the adopted trees or equivalent credits (the remaining 20% is retained by Party A for farm maintenance);
乙方有权参与甲方年度社区治理投票，每棵认养树对应1票； Party B has the right to participate in Party A's annual community governance vote, with each adopted tree counting as one vote;
乙方有权将认养权（NFT）在甲方平台内转让，转让须提前7天书面通知甲方； Party B may transfer the adoption rights (NFT) within Party A's platform, subject to 7 days' prior written notice to Party A;
乙方应按合同约定及时足额支付认养费用； Party B shall pay the adoption fees in full and on time as stipulated in this agreement;
乙方不得擅自进入农场，需通过正规预约渠道； Party B shall not enter the farm without prior arrangement through the official booking channel;
乙方不得将认养权用于任何非法活动。 Party B shall not use the adoption rights for any illegal activities.
第五条  NFT确权条款 Article 5  NFT Ownership Certification
合同签署并付款完成后，甲方应在5个工作日内向乙方发放对应的NFT确权证书； Upon signing of this agreement and full payment, Party A shall issue the corresponding NFT ownership certificate to Party B within 5 working days;
NFT证书包含：认养人信息、树木编号、地块坐标、品种信息、认养期限、区块链哈希值； The NFT certificate shall contain: adopter information, tree ID, plot coordinates, variety details, adoption term, and blockchain hash value;
NFT所有权即为认养权的数字化凭证，具有同等法律效力； NFT ownership constitutes a digital proof of adoption rights and carries equivalent legal effect;
认养期届满后，乙方可选择续约或申请NFT注销，甲方应在15个工作日内处理； Upon expiry of the adoption term, Party B may choose to renew or apply for NFT cancellation; Party A shall process such requests within 15 working days;
如NFT因技术故障损坏，甲方应免费补发，不影响乙方权益。 If an NFT is damaged due to technical failure, Party A shall reissue it free of charge without prejudice to Party B's rights.
第六条  费用与支付 Article 6  Fees and Payment
认养费用以合同约定为准，支付方式： Adoption fees are as agreed in this contract. Accepted payment methods:
收款账户信息将在签署后由甲方单独以书面形式提供。 Payment account details will be provided separately in writing by Party A after signing.
乙方完成支付后，甲方应在3个工作日内向乙方开具收据或发票； Party A shall issue a receipt or invoice to Party B within 3 working days after payment is received;
如乙方逾期付款超过15天，甲方有权解除本合同，已付款项不予退还。 If Party B fails to pay within 15 days beyond the due date, Party A has the right to terminate this agreement; fees already paid shall not be refunded.
第七条  违约责任 Article 7  Liability for Breach
甲方违约（未能如期交付NFT、不提供报告等），应向乙方支付合同总金额10%的违约金； If Party A breaches this agreement (failure to deliver NFT on time, failure to provide reports, etc.), Party A shall pay Party B liquidated damages equal to 10% of the total contract value;
乙方违约（未付款、非法转让等），甲方有权解除合同，已付款项不予退还； If Party B breaches this agreement (non-payment, unauthorised transfer, etc.), Party A has the right to terminate the contract; fees already paid shall not be refunded;
因不可抗力造成的损失，双方互不承担违约责任，但应及时通知对方。 Neither party shall be held liable for losses caused by force majeure events, but each party shall promptly notify the other party.
第八条  争议解决 Article 8  Dispute Resolution
如本合同发生争议，双方应首先通过友好协商解决；协商不成，可提交有管辖权的仲裁机构仲裁，或向有管辖权的法院提起诉讼。 Any dispute arising out of or in connection with this agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to a competent arbitration body or file a lawsuit in a court of competent jurisdiction.
第九条  合同生效 Article 9  Entry into Force
本合同自双方签字（盖章）之日起生效，一式两份，甲乙双方各执一份，具有同等法律效力。 This agreement shall take effect on the date it is signed (and sealed) by both parties. It shall be executed in two counterparts, one held by each party, each of equal legal effect.
